    Preamble

    These General Terms and Conditions of Sale (hereinafter "GTC") govern all commercial transactions concluded between the Publisher of the Entreprise-Agadir.com platform (hereinafter "the Seller") and any Member or advertiser subscribing to a subscription, purchasing a boost, an advertising option, or any other paid service offered on the Platform.

    Any order placed on the Platform implies full and unconditional acceptance of these GTC, which prevail over any other document of the Buyer. These GTC are accessible at any time on the Platform.

    By validating any order, the Buyer acknowledges having read, understood, and accepted without reservation the entirety of these GTC.

    Article 2 — Scope of Application

    2.1 Services covered

    These GTC apply to all paid services:

    • Starter, Pro and Premium subscriptions for Companies and Freelancers
    • Individual boosts (Top Category Boost and Premium Boost)
    • Advertising spaces (banners, sponsored profiles, newsletter inserts)
    • Additional options (extra listings, priority validation, verified profile, packs)
    • Any other paid service offered on the Platform

    2.2 Exclusions

    These GTC do not apply to free services governed exclusively by the Terms of Use.

    2.3 Buyers concerned

    These GTC apply exclusively to professionals acting in the course of their business. The Platform is not intended for non-professional consumers.

    Article 3 — Order

    3.1 Order process

    3.2 Order confirmation

    A confirmation email is sent to the Buyer as soon as their payment is validated. It summarises the nature of the ordered service, the duration, the amount paid, and the effective date.

    3.3 Order modification

    Any validated and paid order cannot be modified. In the event of an ordering error, the Buyer must contact the sales department within 2 hours following validation, provided the service has not yet been activated.

    3.4 Order refusal

    The Seller reserves the right to refuse any order for legitimate reasons. The Buyer is informed by email and fully refunded if payment has already been collected.

    Article 4 — Rates and Prices

    4.1 Applicable prices

    The applicable prices are those in force at the time the order is validated. All prices are expressed in Moroccan dirhams (MAD), all taxes included.

    4.5 Price changes

    The Seller reserves the right to modify its prices at any time with a minimum notice of 30 days. Current subscriptions are not affected.

    4.6 Invoicing

    An invoice is automatically issued for each transaction and made available in the personal account.

    Article 5 — Payment Terms

    5.1 Accepted payment methods

    5.2 Payment security

    Transactions are secured via an SSL-certified provider. The Seller does not retain any banking data.

    5.5 Subscription renewal

    Monthly subscriptions are automatically renewed by tacit agreement. The Buyer is notified 5 days before the billing date and may cancel from their personal account before that date.

    Article 6 — Service Activation

    6.1

    Subscriptions

    Takes effect immediately upon payment confirmation.

    6.2

    Boosts

    Activated within 2 working hours. Duration of 14 days from activation.

    6.3

    Advertising spaces

    Published within 48 working hours after visual approval.

    6.4

    Additional options

    Activated according to the specific timelines indicated at the time of order.

    Article 7 — Subscription Duration and Cancellation

    7.1 Subscription duration

    Monthly subscription

    1 month, renewable by tacit agreement

    Annual subscription

    12 months, renewable by tacit agreement

    7.2 Cancellation at the Buyer's initiative

    The Buyer may cancel their subscription at any time from their personal account, under the "My Subscription" section. Cancellation takes effect at the end of the current period.

    7.3 Cancellation at the Seller's initiative

    • Violation of the Terms of Use
    • Proven fraudulent or abusive behaviour
    • Non-payment or repeated payment default
    • Judicial or administrative decision
    In such case, the subscription is immediately terminated and no refund is due.

    Article 8 — Refund Policy

    8.1 General principle

    Given the nature of immediately executed digital services, all sales are final. No refund is granted once the service has been activated, except in the cases expressly provided below.

    8.2 Cases of full refund

    • Order refused by the Seller before service activation
    • Double billing identified and proven
    • Technical impossibility attributable to the Seller for more than 7 consecutive days
    • Manifest billing error on the part of the Seller

    8.5 Refund procedure

    Article 9 — Seller's Obligations

    • Provide the ordered services in accordance with published descriptions
    • Activate services within the timelines indicated in these GTC
    • Ensure Platform availability under the best possible conditions
    • Process the Buyer's data in accordance with the Privacy Policy
    • Issue an invoice for each transaction
    • Respond to the Buyer's requests within a reasonable timeframe

    Article 10 — Buyer's Obligations

    • Provide accurate and complete information when placing an order
    • Pay the amount due within the agreed deadlines
    • Use the services in accordance with the Terms of Use and Publication Policy
    • Not attempt to circumvent payment or service access systems
    • Inform the Seller of any changes to billing details
    • Keep login credentials secure

    Article 11 — Liability

    11.1 Limitation of liability

    The Seller's liability is limited to the total amount paid by the Buyer for the order in question.

    11.2 No guarantee of results

    The Seller does not guarantee any particular commercial results (contacts, leads, views or conversions).

    Article 12 — Intellectual Property

    The Buyer warrants that they hold all necessary rights to the visuals and content submitted. All elements of the Platform remain the exclusive property of the Seller.

    Article 13 — Confidentiality and Personal Data

    Personal data collected in the context of orders is processed in accordance with the Privacy Policy and Moroccan Law No. 09-08. It is not transmitted to third parties for commercial purposes.

    Article 14 — Force Majeure

    The Seller shall not be held liable in the event of force majeure as defined under Moroccan law.

    If force majeure persists beyond 30 days, either party may terminate the contract without compensation, with a pro-rata temporis refund.

    Article 15 — Archiving and Proof

    The Seller archives purchase orders and invoices on a reliable medium. These archives constitute proof of transactions concluded between the parties.

    Article 16 — Claims

    Any claim must be addressed in the first instance to the sales department:

    Article 17 — Applicable Law and Jurisdiction

    These GTC are governed by Moroccan law.

    In the absence of an amicable resolution within 30 days, any dispute shall be subject to the exclusive jurisdiction of the courts of Agadir (Morocco).

    Article 18 — GTC Amendments

    The Seller reserves the right to amend these GTC at any time. Members with an active subscription are notified by email with a notice of 30 days.

    Article 19 — Miscellaneous Provisions

    19.1

    Entire agreement

    These GTC constitute the entire agreement between the parties.

    19.2

    Severability

    If any clause were declared void, the remaining clauses shall remain in force.

    19.3

    Non-waiver

    Failure to invoke any clause shall not constitute a waiver thereof.

    19.4

    Language

    These GTC are written in French. In the event of translation, the French version shall prevail.

    Acceptance of terms

    By validating any order on the Platform, the Buyer acknowledges having read, understood, and accepted without reservation the entirety of these General Terms and Conditions of Sale.
